Standing Statutory Auditor

Born in Milan in 1965.

He graduated in Economics and Business Administration at the Bocconi University of Milan.
Chartered Accountant and Auditor.

From 2000 to 2002 he was advisor to Assonime for Corporate law.

He is advisor in the field of corporate, banking and financial market law.

Associate Professor of Commercial Law at the University of Aosta, where he is also Full Professor of European Community Private Law; Lecturer of Financial Intermediates Law at the Bocconi University of Milan; Full Professor in Phd programs for Business Law at the Bocconi Univeristy in Milan; Ph.D. in Commercial Law as well as Researcher of Business Law at the Bocconi University in Milan (2004); member of the editorial Committee of the review "Rivista delle societa"; academy member of the European Corporate Governance Institute member of the International Corporate Governance Network (ICGN).

He cooperated, in the frame of the Scientific Committee of the Ref.irs Forum on corporate information, to the drawing up of the "Guida per l'informazione al mercato".

He wrote several publications on Corporate and Business Law, among the latest ones:
- Perdita del capitale sociale e bilancio straordinario. Funzione informativa e organizzativa, Milano, 2004;
- Commento agli artt. 27-33 d. lgs. n. 231 del 2001, in a cura di A. Giarda-G. Spangher, Codice di procedura penale commentato, Milano, III, 2006;
- Responsabilita da reato degli enti e nuovo diritto azionario: appunti in tema di doveri degli amministratori ed organismo di vigilanza, in Rivista delle societa, n. 1-2007;
- Diritto agli utili e alla quota di liquidazione, Milano, 2007, in Commento alla nuova disciplina delle societa a cura di Marchetti-Bianchi-Ghezzi-Notari;
- Categorie di azioni e diritti patrimoniali, Milano, 2008.

He holds the position of Chairman of the Statutory Auditor in the following companies: Telecom Italia Sparkle S.p.A. and Cordusio Fiduciaria S.p.A.; he is Standing Statutory Auditor of Equita SIM S.p.A. (formerly Euromobiliare), Banca ITB S.p.A., TI Audit S.c.r.l., Italtel S.p.A. and Unicredit Private Banking S.p.A..

He is member of the Board of directors, in his capacity as independent member, in the following companies: Allianz Global Investors SGR S.p.A (Deputy Chairman of the Board of Directors); Allianz Bank Financial Advisors S.p.A. (member of the Board of directors).

He is the representative of the saving share shareholders of Intesa SanPaolo S.p.A. and Chairman of the Supervisory Body of Bayer S.p.A. according to D.Lgs. n. 231/01.
