Born in Rome in 1945.
Graduated in law at the University of Rome in academic year 1966/67.
From 1974 to 1981 he lectured on Banking Law, Industrial Law and Corporate Law at the University of Cagliari, Bankruptcy Law at the University of Sassari, Insurance Law at the University of Rome and Industrial and Corporate Law at the University of Perugia.
Furthermore, he held the chair of Insurance Law as well as of Industrial and Corporate Law at the University of Rome "La Sapienza" and of Corporate, International and Community Law at the University of Rome "Tor Vergata".
Since November 1994 he has been the director of the Institute of Private Law at the University of Rome "La Sapienza" and head of the Faculty of Law at the same University since 1995.
In 1998 he became member of the commission for the implementation of a bill for Corporate Law reform ("Mirone Committee"), in 2001 member of the committee for the implementation of Corporate Law reform ("Vietti Committee") and in 2003 member of the committee for the coordination and for the amendments of Law Decrees number 5 and 6 regarding the reform of Corporate Law.
Legal advisor to the Treasury Ministry in the period between 1999-2000.
From 1999 to April 2002 he was member of the Board of Directors of ENEL S.P.A. and from 2001 to 2003 Secretary of the Board of Directors of Alitalia S.p.A..
From 2004 to 2005 he was member of the Board of Directors of Telecom Italia Mobile S.p.A. Since March 31, 2005, he has been member of the Board of Directors of Stretto di Messina S.p.A.. and since May 2007 member of the Board of directors of SACE BT.
He holds the requirements provided by the Corporate Governance Code (Borsa Italiana) to be qualified as independent.
